Terms of Service

These Terms of Service (“Terms”) are a legal agreement between you and TheoryTwelve, LLC (“TheoryTwelve,” “we,” “us,” or “our”), a Colorado limited liability company. They govern your use of Gambit Fantasy and any related applications, websites, or services (collectively, the “Service”). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. Eligibility

You must be at least 13 years old to use Gambit. By agreeing to these Terms, you represent that you are at least 13. If you are under 18, you represent that your parent or legal guardian has reviewed and consented to these Terms. We reserve the right to terminate accounts we reasonably believe are held by users under 13.

2. Accounts

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us immediately at legal@gambitfantasy.app if you believe your account has been compromised. You may not share your account, create accounts on behalf of others without their consent, or operate automated accounts.

One account per person. Creating multiple accounts to gain a competitive advantage is prohibited and grounds for immediate termination of all accounts involved.

3. The Service

Gambit Fantasy is a season-long fantasy football game played under the one-start rule: every NFL player is available to every team, but once a player is started in a lineup, that player is permanently “burned” for that team for the remainder of the season. Gambit is a game of skill and strategy. No real money is wagered within the Service. No prizes are offered, distributed, or administered by TheoryTwelve.

Private Prize Pools

Some leagues choose to organize their own entry fees or prize arrangements entirely among their members. TheoryTwelve has no involvement in and accepts no responsibility for any such arrangements — including the collection, holding, administration, or distribution of any funds. Private prize pools are solely between the commissioner and league members. Participants are responsible for ensuring that any such arrangement complies with the laws of their jurisdiction. TheoryTwelve expressly disclaims all liability arising from private prize pool disputes or regulatory issues.

4. Subscriptions and Billing

Plans

  • Free: full game access with no charge, ever. The one-start mechanic, player pool, lineup builder, standings, burn tracker, and in-app chat are free for all players.
  • Individual Pro ($29 / year): personal upgrade for one account. Includes Gambit AI lineup assistant, advanced scarcity and burn analytics, weekly AI recap, and priority support. Billed annually.
  • League Pro ($149 / league / season): paid by the commissioner; covers Individual Pro for every member of that league for the season, plus Discord integration. Billed once per season.

Auto-Renewal

Individual Pro renews automatically each year on the anniversary of your purchase unless you cancel before the renewal date. League Pro does not auto-renew; it must be purchased each season. We will send a reminder email at least 7 days before any automatic charge.

Price Changes

We may change subscription prices at any time. We will notify you at least 30 days before a price change takes effect on your renewal. Your continued subscription after the effective date constitutes acceptance of the new price. Founding-member pricing, if explicitly offered, is locked for the period stated at time of purchase.

Refunds and Cancellations

See our separate Refund & Cancellation Policy for full details. The short version: you can cancel any time; you keep access through the end of your paid period and will not be charged again. Refunds are available within 30 days of purchase.

5. Commissioner Responsibilities

League commissioners agree to the following additional obligations:

  • You are responsible for inviting members, configuring league settings before the season starts, and acting as the final arbiter of disputes within your league.
  • If you purchase League Pro, you are authorizing the charge on behalf of your league and are responsible for payment.
  • You may not use commissioner tools to gain an unfair competitive advantage (e.g., manipulating settings to benefit your own team).
  • You are responsible for ensuring your league members are aware of and agree to these Terms and the League Rules.

6. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable law or regulation
  • Attempt to circumvent the one-start rule through any technical means, collusion, or account manipulation
  • Harass, threaten, or abuse other users in league chat or any other part of the Service
  • Post content that is defamatory, obscene, or infringes the intellectual property rights of others
  • Use automated tools, bots, or scrapers to access or extract data from the Service without our prior written permission
  • Reverse engineer, decompile, or attempt to derive the source code of the Service
  • Interfere with the integrity or performance of the Service or its underlying infrastructure
  • Attempt to access accounts, systems, or data that you are not authorized to access

We reserve the right to investigate suspected violations. Confirmed violations may result in account suspension or permanent termination without notice.

7. User Content and Chat

“User Content” means anything you submit to the Service, including chat messages and profile information. You retain ownership of your User Content. By submitting it, you grant TheoryTwelve a worldwide, royalty-free, non-exclusive license to use, display, and distribute it solely as necessary to operate the Service.

You are solely responsible for your User Content. TheoryTwelve does not pre-screen User Content and is not liable for any User Content posted by you or any other user. We act as a passive conduit for user communications and are not the author, editor, or publisher of User Content. Nothing in these Terms obligates us to monitor, review, or remove User Content, though we reserve the right to do so at our discretion and to terminate accounts that post content violating these Terms.

GIFs and Third-Party Media

League chat supports GIF sharing via the Giphy platform. GIFs displayed in chat are served directly from Giphy's servers and are subject to Giphy's Terms of Service and content policies. We do not host, store, or control Giphy's content library. We filter all Giphy results to G-rated content at the API level, but we make no guarantee that every result will be appropriate for all audiences, and we accept no liability for Giphy content.

Direct file or image uploads are not supported. The only images that can appear in the built-in GIF picker are sourced through Giphy.

8. NFL Data and Intellectual Property

Gambit uses NFL player statistics provided by Sleeper's public API. We are not affiliated with, endorsed by, or sponsored by the NFL, any NFL team, the NFL Players Association, or any individual player. Player names and likenesses are the property of their respective owners.

The Gambit name, logo, and all other product and service names are trademarks of TheoryTwelve, LLC. You may not use them without our prior written permission.

9. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

NFL statistics, player availability, and injury information are provided for informational purposes only. We do not guarantee the accuracy or timeliness of any game data.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THEORYTWELVE AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR DATA, ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM THESE TERMS OR YOUR USE OF THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM OR (B) $100.

11. Indemnification

You agree to indemnify and hold harmless TheoryTwelve and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Service, your User Content, your violation of these Terms, or your violation of any third-party rights.

12. Termination

You may delete your account at any time from your account settings. We may suspend or terminate your access to the Service at any time, with or without cause, with or without notice. Upon termination, your right to use the Service ceases immediately. Sections that by their nature should survive termination (including Sections 8, 9, 10, 11, 13, and 14) will survive.

13. Governing Law and Disputes

These Terms are governed by the laws of the State of Colorado, without regard to its conflict-of-law provisions. Any legal action arising from these Terms shall be brought exclusively in the state or federal courts located in Colorado, and you consent to personal jurisdiction in those courts.

Before initiating any legal action, you agree to contact us at legal@gambitfantasy.app and give us 30 days to attempt an informal resolution.

14. Changes to These Terms

We may update these Terms from time to time. We will post the updated Terms here and update the effective date. For material changes, we will email you at least 14 days before the change takes effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.
